3. Quotations and Pricing

  • All quotations are valid for the period specified in the quotation.
  • Prices may change due to component availability, supplier pricing, shipping costs, or project scope changes.
  • Additional work outside the agreed scope may incur additional charges.

4. Client Responsibilities

Clients agree to:

  • Provide accurate project requirements.
  • Supply necessary documentation and specifications.
  • Obtain required licenses and permissions for their products.
  • Review and approve project deliverables within reasonable timeframes.

Delays caused by missing information may impact project timelines.

5. Intellectual Property

Unless otherwise agreed in writing:

  • Clients retain ownership of their proprietary information.
  • Adiva Tech Services retains ownership of its internal tools, methodologies, libraries, frameworks, and manufacturing processes.
  • Custom project ownership shall be governed by the applicable project agreement.

6. Confidentiality

We respect the confidentiality of client information and will take reasonable measures to protect proprietary project data.

Where necessary, separate Non-Disclosure Agreements (NDAs) may be executed.

7. Manufacturing Variations

Electronic manufacturing may involve acceptable industry-standard tolerances.

Minor variations in:

  • Component markings
  • PCB color
  • Surface finish
  • Mechanical appearance

shall not be considered defects if functionality remains unaffected.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Adiva Tech Services shall not be liable for indirect, incidental, special, or consequential damages.
  • Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

9. Warranty

Unless otherwise specified in writing:

  • Services are provided on a best-effort basis.
  • Warranty coverage, if applicable, will be specified in the project proposal or invoice.

10. Project Delays

Estimated delivery dates are provided in good faith.

Adiva Tech Services shall not be liable for delays caused by:

  • Supplier shortages
  • Customs delays
  • Shipping disruptions
  • Force majeure events
  • Client-requested changes

11. Prohibited Use

Clients shall not use our services for:

  • Illegal activities
  • Unauthorized surveillance
  • Intellectual property infringement
  • Activities violating local, national, or international laws

12. Governing Law

These Terms shall be governed by and interpreted under the laws of India.

Any disputes shall be subject to the jurisdiction of the courts located in Delhi, India.

13. Changes to Terms
